These Terms of Use (“Terms”) form a binding agreement between you and AIClout.vip (“AIClout,” “we,” “us,” “our”) governing your access to and use of our website, apps, and services (collectively, the “Service”). By accessing or using the Service, you accept these Terms and our Privacy Notice.
1. Who may use the Service
You must be at least 18, able to form a contract, and use the Service only for lawful purposes. If you use the Service on behalf of a company, you represent you have authority to bind that company.
2. Your account
Keep your credentials confidential. You are responsible for all activity under your account. We may suspend or terminate accounts for suspected abuse, fraud, or violations of these Terms.
3. Content; generative outputs
You retain rights in content you submit (“Input”). Subject to your compliance with these Terms, AIClout assigns to you any copyright we may own in the images or other materials generated for you by the Service (“Output”). We do not claim rights in third-party content embedded in your Output via prompts or uploaded materials.
No endorsement or affiliation. Outputs may depict public figures, brands, or other third parties based on your Input. AIClout does not represent or endorse any such persons or entities and does not grant you any rights of publicity, trademark, or other third-party rights. You are solely responsible for ensuring your use of any Output complies with applicable law (including right-of-publicity, trademark, and copyright) and for obtaining any permissions required for your use.
4. Acceptable use
- No unlawful, defamatory, harassing, hateful, or deceptive use.
- No impersonation or misleading suggestion of endorsement.
- No attempts to bypass usage limits or security.
- No scraping, reverse engineering, or competing model training on our Outputs or systems.
5. Payments
Fees (where applicable) are due as stated at purchase. Except where required by law, all charges are non-refundable.
6. Third-party services
The Service integrates third-party platforms (e.g., image or email providers). Those services are governed by their own terms and policies; we are not responsible for them.
7. DMCA; rights complaints
We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to our DMCA agent at support@aiclout.vip or by mail to: DMCA Agent, AIClout.vip, Riverside County, CA. Your notice must satisfy 17 U.S.C. §512(c)(3). We may remove content and terminate repeat infringers. Counter-notifications should follow §512(g).
8. Disclaimers
The Service and all Outputs are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service is intended primarily for entertainment and legitimate business uses. We do not guarantee any particular results or that any Output will be lawful for your specific use.
9. Limitation of liability
To the maximum extent permitted by law, AIClout and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to us in the 12 months before the claim or (b) $100.
10. Indemnity
You will defend and indemnify AIClout and its affiliates from any claim, loss, and expense (including reasonable attorneys’ fees) arising out of your Inputs, your use of Outputs, or your violation of these Terms or applicable law.
11. Governing law; venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Exclusive venue and jurisdiction lie in the state courts located in Riverside County, California, or the U.S. District Court for the Central District of California, Eastern Division, and the parties consent to those courts’ personal jurisdiction. Either party may bring an individual claim in small-claims court with appropriate jurisdiction. If you are a consumer with non-waivable rights under your local law, this clause does not deprive you of those rights.
12. Changes
We may update these Terms. If changes are material, we will provide reasonable notice (e.g., by email or site notice). Continued use of the Service after changes take effect constitutes acceptance.
